SMITH ELECTRIC VEHICLES AND WANXIANG GROUP ANNOUNCE INVESTMENT AND JOINT VENTURE

February 17, 2012 – Smith Electric Vehicles Corp. (Smith), a global leader in all-electric commercial vehicles, announced today that it has signed a letter of intent with Wanxiang Group, a global leader in automotive parts manufacturing and supply. The principal terms include a $25 million equity investment in Smith by Wanxiang and up to a $75 million investment in a joint venture between Smith and Wanxiang to develop, manufacture and commercialize all-electric school buses and commercial vehicles for multiple industries in China. Under the Smith brand, these vehicles will combine Wanxiang’s EV componentry technologies with Smith’s proprietary platform vehicle designs, including its Smith Drive™ and Smith Power™ systems. Both the investment and the joint venture are subject to the execution of definitive agreements and receipt of regulatory and other third party approvals.

November 15, 2011 – Smith Electric Vehicles Corp. (Smith), a leader in all-electric commercial vehicles, today announced that the company will expand its U.S. operations by adding a manufacturing facility in New York State, creating up to 100 new direct local jobs. Smith will manufacture the zero-emission Newton™, its all-electric medium duty vehicle with a range of up to 150 miles and an average annual operating cost that is one-third to one-half that of conventional diesel trucks with comparable gross vehicle weights (GVWs), at the new facility beginning in 2012. A package of city and state incentives of approximately $11 million will augment Smith’s private investment.

Smith Electric Vehicles designs, produces and sells zero-emission commercial electric vehicles to commercial fleet operators. The number of shares to be offered and the price range for the offering have not yet been determined. The shares of common stock to be sold in this offering (including the shares of common stock that may be sold to satisfy the underwriters’ over-allotment option) would be sold by Smith Electric Vehicles Corp. and by certain of its stockholders.

August 16, 2011 – Smith Electric Vehicles, a global leader in zero-emission, all-electric commercial vehicles, announced today that Staples will showcase one of its Portland-based Smith Newtons™ at the “Electric Avenue” event in downtown Portland. Electric Avenue is a research project that allows electric vehicle (EV) and electric bicycle owners to park and charge up on a designated block in the city. The two-year program is a collaboration among the city, Portland State University and Portland General Electric. The Staples truck will be the only electric truck on display at the event.

December 13, 2010 – Smith Electric Vehicles today announced the purchase of two all-electric Smith Newton trucks by the United States Marine Corps, the first military organization to order Smith Newtons off the Government Services Administration (GSA) schedule. The trucks will be delivered to Camp Pendleton, Calif., the Corps’ largest West Coast training facility, and home of the First Marine Expeditionary Force.
